Diginex, a company with a focus on enhancing its technological capabilities and expanding in the cybersecurity sector, has entered into a non-binding Memorandum of Understanding (MOU) to acquire 100% equity interest in Findings, a cybersecurity and automation firm.

Findings, backed by Magenta Venture Partners, offers advanced solutions for supply chain risk monitoring and vendor risk management (VRM), ensuring compliance with cybersecurity and sustainability regulations. This acquisition aligns with Diginex’s strategic vision to build a comprehensive global regulatory compliance data verification system.

Aiming for Enhanced Transparency Through AI

With the integration of Findings, Diginex aims to improve transparency in corporate regulatory reporting and sustainable finance through advanced AI and data analysis techniques. The company plans to leverage Findings’ expertise in VRM, real-time cloud audits, innovative API-based verification automation, and secure data sharing.

Details of the Acquisition

The proposed transaction involves a total consideration of up to $305 million, comprising $270 million worth of Diginex Limited shares and an additional $35 million in cash. Of this cash amount, $20 million is conditional upon achieving certain financial targets. The share valuation will be based on the 60-business-day trailing volume-weighted average price (VWAP) of Diginex’s stock as of the MOU signing date.

Shareholders of Findings will face lock-up periods ranging from nine to eighteen months. $15 million in cash consideration will be paid at closing, with the remaining balance subject to business performance metrics and scheduled for payment in fiscal years 2026 and 2027.
